1) PROGRAM DESCRIPTION/TIMING/SPONSOR: The Elan Financial Services Q4 2022 Inflation Buster SmartStarter Online Training Module & Instant Win Game (the “Game” or “Promotion”), begins September 15, 2022, at 12:00:00 AM Central Time (“CT”), and ends November 30, 2022, at 11:59:59 PM CT (“Promotion Period”). Two Thousand (2,000) Prizes will be awarded in the Game. The Sponsor of this Promotion is Elan Financial Services, 811 E. Wisconsin Avenue, Milwaukee, WI 53202 (“Sponsor”). The Promotion Administrator is Marden-Kane, Inc., 575 Underhill Boulevard, Suite 222, Syosset, NY 11791 (“Promotion Administrator”). Sponsor and Promotion Administrator may herein be referred to as Promotion Entities (collectively, the “Promotion Entities”).

2) PROGRAM ELIGIBILITY: The Game is open only to legal residents of the fifty (50) United States who are 18 years of age or older as of 9/15/22 and who are branch, retail, or call center employees of participating Elan Financial Services’ client financial institutions (“Eligible Participants”). Void in Puerto Rico, all U.S. Territories and Possessions and where prohibited or restricted by law. Eligibility is subject to employer policies in relation to promotions such as this. Employees of Sponsor, Promotion Administrator, and each of their respective successors, parent companies, subsidiaries, affiliates, agents, representatives, officers, directors, advertising and promotion agencies, prize suppliers, shareholders and employees (collectively, “Releasees”) and each of their immediate family members (spouse, parents, siblings, and children) or members of the same household of any of the foregoing persons are not eligible to participate. Eligible Participants must be actively employed by their applicable financial institution participating in the Promotion (“Financial Institution”) at the time of prize or incentive award fulfillment to be eligible to receive a prize. If the Eligible Participant is no longer employed by the Financial Institution, no prize will be awarded to such Eligible Participant. By entering, you agree to these Official Rules and the decisions of the judges, which shall be final and binding in all respects. All applicable federal, state, and local laws and regulations apply. In the event of any discrepancy between these Official Rules and any other communication regarding the Sweepstakes, these Official Rules shall govern and control.

3) HOW TO PLAY THE GAME: The Sponsor’s computer is the official timekeeper for this Game. To enter the Game, log on to the Elan Client Resource Center at https://clientaccess.elanfinancialservices.com and (1) complete the online training module (the “Online Training Module”), (and (1) complete the online training module (the “Online Training Module”), (2) take the Online Training Module Quiz (presented at the end of the online training), and obtain a score of at least 78% (Eligible Participant must correctly answer 7 of the 9 questions presented). Upon clicking the Play Game button, you will be prompted to play the Game. If the Game reveals a winning message, you will be prompted to click through to a prize redemption page where you will be informed of your prize (subject to confirmation, verification and compliance with these Official Rules) and will be asked to provide additional information which is required in order to fulfill the prize. Any other message indicates you are not an instant winner of a prize. All Game prizes are randomly seeded at predetermined designated winning times (“Winning Time”) throughout each day during the Promotion Period. The first Eligible Participant to enter at the Winning Time will be the potential winner of the seeded prize. If no Eligible Participant enters the Game at the Winning Time, the first Eligible Participant who enters after the Winning Time will be the potential winner of the seeded prize. Limit one (1) Game entry per Eligible Participant during the Promotion Period. By participating in this Game, Eligible Participant accepts and agrees to comply with and abide by these Official Rules and the decisions of the Sponsor, including the interpretation of these Official Rules and its exercise of discretion, which will be final and binding in all respects. No responsibility is assumed for Eligible Participant information that is incomplete or incorrectly entered. An Eligible Participant who submits inaccurate entry data may be excluded from participation at any time during the Promotion Period.

4) GAME PRIZES: Prize Period 1 (September 15 – October 31, 2022) – One Thousand Ninety-Nine (1,099) Game Prizes: One Thousand Ninety-Eight (1,098) $10 cash prizes. Retail Value (“RV”) of $10 each. Total RV of $10,980. One (1) $100 cash prize. RV of $100. Total RV of $100. Total RV of Period 1 Prizes: $11,080.

Prize Period 2 (November 1 – November 30, 2022) – Nine Hundred One (901) Game Prizes: Eight Hundred Ninety-Nine (899) $10 cash prizes. RV of $10 each. Total RV of $8,990. One (1) $100 cash prize. RV of $100. Total RV of $100. One (1) $250 cash prize. RV of $250. Total RV of $250. Total RV of Period 2 Prizes: $9,340.

Total RV of all Game Prizes: $20,420. Odds of winning a Game Prize depend upon the number of Eligible Participants playing the Game and the date and time of each play. All cash prizes will be fulfilled via the Sponsor’s CA$H IN Automated Clearing House (ACH) payment program (“CA$H IN”) as detailed below. All prizes will be fulfilled by 9/14/2022.

To claim a prize fulfilled via the CA$H IN program, the Eligible Participant who has earned a prize must log into their Elan Client Resource Center account and navigate to the CA$H IN page. The Eligible Participant will be able to view the awarded prize on this page and claim the prize by following the instructions provided. If the Eligible Participant chooses to redeem using a bank account, they will be required to provide the routing number and account number for the deposit account into which they would like their prize to be deposited. If the Eligible Participant chooses to redeem using Zelle^®, they will be required to provide the U.S. mobile phone number or email address that was used to enroll in Zelle. The routing number, account number, and phone number or email address, as applicable, may be stored for use in claiming future prizes. The prize will be deposited into the employee designated account via ACH deposit within 14 business days after they are claimed. Prize must be claimed within 6 months of when it was posted to the employee CA$H IN account or the prize will be forfeited. The Sponsor assumes no responsibility or liability for errors or omissions in deposit account information (for bank account) and/or phone number or email address (for Zelle) that is entered incorrectly by the Eligible Participant while claiming their prize via the CA$H IN program. In cases where incorrect deposit account information and/or incorrect phone number or email address have been entered by the Eligible Participant and results in a deposit being made to an incorrect account, the prize will not be reinstated. 5) POTENTIAL WINNER NOTIFICATION PROCESS: Potential winners will be required to complete and submit the online Affidavit of Eligibility, Liability Release and a Publicity Release (where allowed under the law) upon notification of being an online instant winner. For all prizes valued over $600, the potential winner will also be required to complete and return to the Promotion Administrator a provided IRS Form W9 within 48 hours following issuance of notification (original document is due within seven (7) days via regular mail). Non-compliance within this time period or return of any prize/prize notification as undeliverable may result in disqualification and selection of an alternate winner (time permitting). If, in the Sponsor’s sole discretion, it is determined that: any entry has not complied with these Official Rules, Sponsor is unable to contact a potential winner within a reasonable time period, a potential winner has failed to properly execute and return any required documents within the specified time period, has made false statements, or notification is returned as undeliverable, then such entry will be disqualified. If any Eligible Participant is disqualified for any reason, at Sponsor’s discretion, an alternate potential winner may be selected and/or issued the applicable prize (time permitting). Should a potential prize winner decide to decline the prize for any reason whatsoever (including not completing the online Affidavit of Eligibility, Liability Release and a Publicity Release), Sponsor shall have no further obligation to that potential winner. Sponsor’s decisions are final and binding on all matters. Unclaimed prizes will not be awarded.

6) PRIZE RESTRICTIONS: No substitutions or transfer of prizes permitted except at the sole discretion of the Sponsor, who reserves the right to substitute a prize (or portion thereof) with one of comparable or greater value, except as otherwise provided herein.

7) TECHNICAL ISSUES/EARLY TERMINATION: Promotion Entities are not responsible for: (a) electronic transmissions or entries of any kind that are lost, late, stolen, incomplete, illegible, damaged, garbled, destroyed, or misdirected; (b) any problems or technical malfunctions, errors, omissions, interruptions, deletions, defects, delays in operation of transmission, communication failures, destruction or unauthorized access to, or alteration of, entries; (c) failed or unavailable hardware, network, software or telephone transmissions, damage to Eligible Participant’s or any person’s computer and/or its contents, or causes beyond the Sponsor’s reasonable control that jeopardize the administration, security, fairness, integrity or proper conduct of this Promotion; (d) any entries submitted in a manner that is not expressly allowed under these Official Rules; (e) incorrect or inaccurate entry-related information whether caused by Eligible Participant or by any of the equipment or programming associated with or utilized in the Promotion; (f) any typographical or other error in the printing or advertising of this offer, administration, or execution of the Promotion, or in the announcement of Winner(s); or (g) cheating or fraud by any Eligible Participant. If for any reason this Promotion cannot be executed as planned, including but not limited to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of Sponsor that corrupt or affect the security, administration, fairness, integrity or proper conduct of this Promotion, or if this Promotion is compromised or becomes technically corrupted in any way, electronically or otherwise, or if fire, flood, explosion, war, embargo, government requirements, fraudulent, criminal or grossly negligent acts, security breaches, civil or military authority, terrorism, acts of God, acts or omissions of carriers, or any other causes beyond Sponsor’s control, interfere with the process for the Promotion as contemplated by these Official Rules, as determined by Sponsor in its sole discretion, Sponsor, may, without prior notice, terminate, modify, or suspend the Promotion, in whole or in part. If this Promotion is terminated before the original end date, Sponsor reserves the right, in its sole discretion, to determine the Winner(s) from among all non-suspect, eligible entries received up to the time of such action using the judging procedure set forth herein. In the event of early termination of the Promotion, Sponsor will post a notice regarding the termination on the website used to access the Online Training Module. Sponsor reserves the right, in its sole discretion, to disqualify and prosecute any individual who tampers with or attempts to tamper with the entry process or who enters more than one time. All decisions of Sponsor in this regard are final.

The Promotion Entities do not assume any responsibility for any disruption in the Promotion caused by circumstance or other unforeseen events outside of the control of the Promotion Entities.

In the event there is a discrepancy or inconsistency between disclosures and other statements contained in any Promotion materials and the terms and conditions of these Official Rules, these Official Rules shall prevail, govern, and control.

8) GENERAL CONDITIONS: Eligible Participants agree to be bound by the terms of these Official Rules. Promotion Entities assume no responsibility for lost, late, illegible, garbled or misdirected entry materials, or for any computer, online, telephone, human, or other error or for any technical or other malfunctions that may occur. Promotion Entities are not responsible for typographical errors or any other errors in entries submitted. Entries not complying with all rules are subject to disqualification. By entering, each Eligible Participant forever releases, discharges, and waives any and all claims, liabilities and actions of any kind, howsoever caused or arising and whether by negligence, any intentional act or otherwise, that Eligible Participant may have or may arise against Promotion Entities with respect to or arising out of either (i) Eligible Participant’s participation; or (ii) the receipt or use of the prizes (including but not limited to the substitution or changing of any prizes) awarded in this Promotion. By entering, each Eligible Participant further agrees to defend, indemnify and hold harmless Promotion Entities and their insurers against any and all damages, costs, judgments, and/or expenses (including but not limited to attorneys’ fees and/or other legal fees) they may incur as a result of claims made against them in connection with either (i) Eligible Participant’s participation; or (ii) the receipt or use of the prizes (including but not limited to the substitution or changing of any prizes) awarded in the Promotion.

If more prize claims, for any prize, are received than are set forth in these Official Rules, all eligible, non-suspect claims may, at Sponsor’s sole discretion, be combined to award the advertised number of prizes in a random drawing.

9) JURISDICTION: The Promotion is governed by the laws of the United States. All federal, state and local laws and regulations apply. The construction, validity and interpretation of the Promotion shall be governed by the laws of the State of Wisconsin, without giving effect to any choice of law or conflict of law rules. All disputes, claims and causes of action arising out of or related to the Promotion shall be resolved in the Superior Court of Wisconsin.

10) PERSONAL INFORMATION: The personal information collected through this Promotion is subject to Sponsor’s privacy policy, a complete copy of which may be found at http://www.elanfinancialservices.com/credit-card/privacy-policy.php. Any personal information handled by an agency or vendor of Sponsor, will be done solely on behalf of Sponsor and all such information shall be handled in conformity with Sponsor’s privacy policy. Marden-Kane, Inc. has been contracted as an independent third party administrator. The entry information is shared with Marden-Kane, Inc. for the sole purpose of the selection, notification, and the fulfillment of a respective prize.
